Sandoval seeks repeal of 654 regulations - News - ReviewJournal.com

Gov. Brian Sandoval on Thursday recommended the repeal of 654 Nevada regulations that he said are either unneeded or a drag on economic growth.

Among them: a rule requiring labels on toilets in manufactured buildings advising of maximum water use per flush. The state Manufactured Housing Division concluded that the regulation is duplicative and unnecessary.

Another recommendation would abolish a requirement that all driver training schools have a physical location in the state. With the growth of Internet-based schools, officials say, mandating a brick-and-mortar site to do business "constitutes an unnecessary burden with little or no increased consumer protection," the governor's office said in a statement.

Of the hundreds of rules targeted for repeal, 137 involve the Department of Business and Industry, 120 fall under the Department of Motor Vehicles, and 95 are under the Department of Taxation.

There are two views on entrepreneurship in America: the first (largely feigned), that it is a pure virtue like freedom of speech or religion, and the second (real) attitude that it is largely a game for the naïve. Steve Jobs, Mark Zuckerberg, and Michael Dell make fine fodder for commencement speeches, but when parents and career counselors thrust graduates into the job market, the default isn't entrepreneurship, it's corporate serfdom. Entrepreneurship is a deviation, an occupation for heroes, heroic for the reasons it can't be recommended: it's just too unsafe. But the conventional position is nonsense; building new companies is far more sensible than the practical will admit.

Annual List Checklist

In order to help our clients with their annual renewal and avoid late fees here are a few helpful hints when submitting paper filings.

- Always read through the letter and the information included with your renewal for any changes in procedure.

- Check your list for any changes you want made (names, titles).

- Check the spelling in names on the list in case the state's records are incorrect.

If any changes are needed, draw a line through the name and write the new name or corrected name above the incorrect or lined out name (BLACK INK AND NO HIGHLIGHTING).


- Corporations: Make sure each office (Pres., Sec., Treasurer and Director) has the name of a person. No office may be left blank. One person may hold multiple positions or be all.

- LLCs: Mark a title for each Manager or Managing Member on the list.

- Sign at the bottom and fill in title and date.

When completed return your Annual List to us along with your renewal payments and we will hand-deliver it to the state for you (no additional charge). We will then return a filed copy via email when we receive it back from the state.

Remember you may renew online with us and the Secretary of State. Once our payment has been submitted you will receive a confirmation with a link to the Secretary of State where you must file your Annual List. Be sure to print a filed copy and receipt when you have processed your payment.

The 2nd way to Increase Revenues is to Diversify your business. Largely, due to the economy, we have been given the opportunity to take a peripheral look at our business and ask ourselves,

• “What else can I do with the product or service I already have”?

• “What related product or service can I offer to my already existing client base”?

• “What completely different product or service can I bring in to serve a completely different client base”?

Many small businesses grow by taking opportunities to diversify.

Simply put, these are the forms Diversification:

• New, related products or services to existing customers=RELATIONAL DIVERSIFYING

• New markets for existing products=HORIZONTAL DIVERSIFYING

• New products for new markets=PROBATIVE DIVERSIFYING

The ones that seek out different market segments are the ones that will most likely survive the present environment. Again, simply put companies do this:

• Take a look at their existing product or service

• Take a look at their current client and market base

Then they take a step back and ask, “Is there another demographic or psychographic segment that could use my product or service”? and “Can I adapt to offer another potential product or service or adapt to open up to another potential client pool”?

When I go into a business for the 1st time I do a Discovery. From my Discovery, I do a Needs Assessment, but one of my first questions I ask is, “May I see your business plan”?

I get (3) responses:

(1) Absolutely OR
(2) What business plan OR
(3) They start cinching their heart and I start giving CPR
MUCH to my surprise, many businesses do not have a completed business plan. WHAT???

This is your roadmap, your atlas, your lifeline. In today’s economy and marketplace we MUST write, revise, or get back to the Business Plan. A business plan is not just your Mission Statement or your Value Statement with a few Goals and Objectives listed, but it actually has a detailed action plan outlining your strategies, telling the story about how you are going to live up to that Mission and Value Statement. The story tells what strategies are in place or will be in place for your company to be a success.

However, they really AREN’T that much fun to do right? And YES, they are a lot of work, but worth it. If your business is more than a hobby, do not operate it without a Business Plan. A Penny Saved...Can Be A Fortune Lost

It wasn’t that long ago that we were being bombarded with news updates about the horrific Deepwater Horizon oil spill (a.k.a. BP oil disaster) that occurred back in April of 2010. In January 2011 the Whitehouse oil commission released a report wherein they blamed BP and its partners for a series of cost-cutting decisions as contributing to this catastrophic accident.

One of the so called cost-cutting decisions was to not use a diagnostic tool to test the strength of the cement. What was the cost of this tool? The cost was a tiny fraction of what they lost in oil, paid for cleanup, what they have paid to settlements and what they will pay for future settlements. That’s right- a tiny fraction!

How does this relate to you? Do you have a Corporation but no Corporate Record Book? It’s all too common these days for people to want to start a Corporation and put off obtaining a Corporate Record Book to cut startup costs, figuring that they’ll get to it later or they think they can get by without one.

About 60% of closely held Corporations are in jeopardy of having their corporate veil pierced because they haven't tended to the formalities of issuing stock or have not maintained corporate records.

A couple of years ago a gentleman called to inquire about the cost of setting up a Corporation in Nevada. He mentioned that he did indeed want a Corporate Record Book with his order. He said he had recently lost a lawsuit with a Corporation he had in another state that wiped him out. He stated that the court ruled against him because he had no Corporate Record Book and had not issued stock. He vowed to do it right this time.

Here again is another cost cutting example that cost many times more in the long run. What is the cost of a Corporate Record Book? It varies depending on where you purchase it, the quality, etc. but it most definitely was a small fraction of what this gentleman lost. Typically they are less than one hundred dollars.

Fortunately, Nevada offers greater protection for Corporations, but if you cannot prove you're a real Corporation with shareholders and not just an alter ego of yourself, your assets could be at risk.

Economic Indicators from Nevada Secretary of State's Office Show New Entity Filings Up Significantly in First Quarter

(Carson City, NV; May 11, 2011) – With mixed reports about the strength of the economic recovery in Nevada coming from a variety of sources, the latest statistics sourced to the Nevada Secretary of  State’s office show two consecutive quarters of significant growth in new business entity filings, suggesting new investments may be leading to business expansion. As reported in the Quarterly Economic & Business Activity Report prepared by Applied Analysis, a Nevada-based research and analysis firm, new entity filings were up 12% in the first quarter of 2011 compared to the same period in 2010. The latest quarterly growth followed the preceding quarter’s positive performance, which was the first since mid-2006.

“I’m as optimistic as I’ve ever been that Nevada has broken through the restraints of the worst recession in decades and is now moving steadily toward economic recovery,” Secretary of State Ross Miller said after reviewing the analysis. “Nevada has a history of incredible resilience, and I’m confident that history will repeat itself. While I don’t think anyone expects to quickly rebound to record-breaking growth, I believe the latest numbers from my office  indicate that more people will find work in the coming months and that we all can look forward to greater economic stability.”

Nevada LLC Benefits

There are many benefits of forming a Nevada LLC. Many entrepreneurs and business owners consider using this type of LLC instead of many other state LLC options. Once you learn more about the advantages, you may find that forming a Nevada LLC would be in the best financial interest of your business.

Privacy

For many business owners, privacy is a very big deal. With a Nevada LLC, this is not something that you have to worry about. When compared to other states, Nevada is much better at protecting the identity and maintaining the privacy of LLC owners. In short, this means that your name, address and industry type are not going to be made public record.

No State Tax

In the state of Nevada you can choose to have your company taxed as a partnership, as opposed to a corporation. In turn, this allows you to save a lot of money on taxes. Some states require that LLCs meet many standards and requirements. This is not the case with Nevada. In addition, you have the ability to file all the proper paperwork by phone, fax or email. The process is very easy.

Finally, Nevada does not have any cash restrictions that you are required to follow. For example, stock can be issued for services, property, or cash, all at the discretion of the LLC.

How to make Expense Management your strategy

Always be internally-driven: Keep improving your process. Have a good employee suggestions program that works, that is, all suggestions are carefully evaluated and those that are implementable are actually implemented, and if they work out well, the employee is suitably rewarded.

Always be externally-driven: Stay on top of changes in technology and process. Even when a technology is not directly targeted at your application/process, you need to evaluate it to see if you can use it for cost reduction.

Competitor-driven: Benchmarking against your competitors is ideal. You must have real time data on your competitors' cost position. If you find that your competitor is doing better than you, immediate action is needed.

Always be Implementing a cost reduction program: After you have compiled the data from competitors and other industry benchmarks, set realistic goals first, though it is perfectly fine to have ultimate goals as well. Ruthless cost cutting can have negative consequences.

Develop a cost reduction program in consultation with each and every employee who could potentially contribute. Do not limit the team to managerial types. In many cases, the floor staff has a better understanding of what works and doesn't and how to make the process better.

Always do a ROI analysis. No cost reduction program should be undertaken until the ROI justifies it.

Explore all options for cost reductions and not just those related to business process redesign or technology/equipment upgrades. Some of the other options that can be considered are outsourcing or off-shoring.

Business process redesign - A simple framework for small and medium-sized businesses While growth is a preferred mode of creating value in almost all cases, an enterprise still needs to focus on operations management, or more specifically, on the robustness of its business processes. Business processes, therefore, may need to be redesigned from time to time for the following reasons:

1.Existing process are broken, or in other words, performing at sub-optimal levels

2.New technology/equipment/systems are available

3.Competitors have better business processes putting you at a competitive disadvantage

4.Business model transformation is being implemented

5.Customers expect you to align your processes with theirs

While business process redesign (or reengineering or revamping or overhaul) may initially seem overwhelming, it shouldn't be. In fact, most businesses should be able to do a large part of BPR on their own. We believe that no one knows an enterprise's processes better than their own employees. However, there are areas where an external advisor can create value:

1. Employees are often reluctant to identify broken systems, inefficiencies, errors, etc. because it is likely to make them look bad

2. Consultants and advisors, through their work with other companies, have a better

3. understanding of what works and what doesn't. Thus, by tapping into their knowledge base, you can not only save time and money, you are also ensuring that you are using the best practices available in the industry. They also have better idea about benchmarks and may, therefore, help you set realistic expectations from BPR

When an organization decides to outsource, reducing costs is always one of its main objectives. Then 'reducing' costs evolved into the need to 'control' them. And today, the financial aspects are often not even listed among the key points. It's true that cutting costs remains an important factor, but rather as a consequence of the main requirements: nowadays when an organization embarks on an outsourcing project, it is looking above all to safeguard its operation (thanks to state-of-the-art Data Centers, industrialized processes and formal, guaranteed levels of service), to make sure it has easy access to the expertise it needs to manage complexity within its information systems, to access technological innovations more quickly and to be in a position to respond to fast-changing business practices.

What customers presented to their service providers followed quite a simple formula: "do the same thing, but better, faster and at a lower cost". At that time, outsourcing often consisted very largely of taking over existing systems. But for the past five years, IT Departments have had to face a dual, and clear-cut acceleration: within business itself on the one hand, which has led their internal customers to expect their information systems to be much more responsive.

And, on the other hand, on the technological front, especially with Web technologies now reaching maturity (including those operating at back office level) and the growth in consolidation and virtualization.

Today's outsourcing contracts take this change into account and as a result they are including much more development work rather than simply operational tasks. Which is why costs no longer take center stage in the list of requirements for the contract: before doing things in a less costly way, you have to start by actually doing it in the first place!

Charging Order Protection for Nevada Corporations

The right of a judgment creditor to collect against the assets of a judgment debtor varies depending upon the nature of the assets. Some asset types – primarily liquid assets - can be directly attached, while other asset types have limitations on attachment by the judgment creditor.
